Important Notice: Simple Accounting is a bookkeeping tool, not an accountant. It does not provide financial, tax, or legal advice. You remain solely responsible for the accuracy of your accounts, tax returns, and compliance with all applicable laws including HMRC requirements. You should consult a qualified accountant or tax professional.

1. Acceptance of Terms

By accessing or using Simple Accounting (“the Service”), you agree to be bound by these Terms and Conditions. If you do not agree, you must not use the Service. These Terms constitute the entire agreement between you and the Service provider (“we”, “us”, “our”).

2. Description of Service

Simple Accounting is a web application that enables UK businesses to import bank CSV data, categorise transactions, generate profit-and-loss reports, and maintain sales and/or purchasing ledgers with invoicing capability. The Service may include optional General Ledger, Sales, and Purchasing modules subject to separate subscription tiers.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.

3. No Financial, Tax, or Legal Advice

The Service is a data-organisation and reporting tool only. Nothing provided by the Service constitutes financial advice, tax advice, legal advice, or professional consultancy of any kind. We are not a regulated financial services firm, nor are we chartered accountants or tax advisers.

You acknowledge and agree that:

  • You bear sole responsibility for verifying all categorisations, calculations, and reports before relying on them for any purpose, including tax filings.
  • You bear sole responsibility for the accuracy and timeliness of all submissions to HMRC, Companies House, or any other regulatory body.
  • We accept no liability for any tax penalties, interest charges, fines, or other losses arising from your use of or reliance upon the Service.
  • You should engage a qualified accountant or tax professional to review your accounts and tax submissions.

4. Making Tax Digital (MTD) Disclaimer

The Service may or may not be compliant with HMRC’s Making Tax Digital (MTD) requirements at any given time. It is your responsibility to verify whether the Service meets your MTD obligations. We make no representation or warranty that the Service satisfies MTD or any other regulatory standard. You must independently ensure your VAT and income tax filings comply with applicable HMRC requirements.

5. User Accounts & Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, for enabling two-factor authentication where available, and for all activities that occur under your account. You must notify us immediately of any unauthorised use or security breach.

You agree to:

  • Provide accurate, current, and complete account information.
  • Regularly back up your data using available export functionality.
  • Verify all imported and categorised transactions for accuracy.
  • Not use the Service for any unlawful purpose or in violation of applicable laws.

6. Payments & Subscriptions

Access to Cashbook transaction importing, Sales, Purchasing, and General Ledger modules requires an active subscription. Subscriptions auto-renew monthly until cancelled. Cancellation takes effect at the end of the current paid month; no partial-month refunds are provided. You may restore a cancelled subscription before the effective date of expiry without additional cost or penalty.

Subscription fees are non-refundable except as required by applicable law. We reserve the right to change pricing upon reasonable notice; continued use after a price change constitutes acceptance of the new pricing.

7. Data & Privacy

We store your email address, uploaded bank CSV data, manually entered transaction data, categorised transactions, and subscription records. We will never sell your data to third parties. Processing of your personal data is governed by our Privacy Policy, which forms part of these Terms.

8. Warranty Disclaimer

To the fullest extent permitted by applicable law, the Service is provided “as is” and “as available” without any warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, completeness, non-infringement, uninterrupted or error-free operation, or compatibility with any third-party system including HMRC systems. We do not warrant that the Service will meet your requirements or that any errors or defects will be corrected.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunity, loss of goodwill, or any tax penalties, interest, fines, or charges imposed by HMRC or any other authority, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise, even if advised of the possibility of such damages.
  • Our total aggregate liability to you in respect of all claims arising under or in connection with these Terms or your use of the Service, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total subscription fees paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim.
  • Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under English law.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Service provider, its directors, officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service;
  • Your breach of these Terms;
  • Your violation of any applicable law or regulation;
  • Any tax liability, penalty, interest, or fine assessed against you by HMRC or any other authority;
  • Any third-party claim relating to data you have uploaded or entered into the Service.

11. Service Availability

We will use reasonable efforts to maintain availability of the Service but do not guarantee uninterrupted access. We may suspend the Service for maintenance, upgrades, or emergency repairs without prior notice. We shall not be liable for any loss or damage arising from Service unavailability, downtime, or data loss, howsoever caused.

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government action, natural disasters, power failures, internet or telecommunications outages, or third-party service failures (“Force Majeure”).

12. Account Suspension & Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without prior notice or liability, for any reason including but not limited to:

  • Breach of these Terms;
  • Non-payment of subscription fees;
  • Use of the Service for any unlawful or fraudulent purpose;
  • Conduct that we reasonably believe could cause liability or harm to us, other users, or third parties.

Upon termination, your right to access the Service will immediately cease. We will retain your data for 30 days following termination, during which you may request a copy. After 30 days, your data will be permanently deleted, subject to any legal retention obligations.

13. Intellectual Property

All rights, title, and interest in and to the Service, including all software, code, design, text, graphics, logos, and other content, are and shall remain our exclusive property or the property of our licensors. These Terms do not grant you any right, title, or interest in the Service other than the limited right to use the Service in accordance with these Terms.

14. No Reliance on Future Functionality

You acknowledge that your subscription and use of the Service are not contingent upon the delivery of any future functionality or features, nor upon any oral or written statements regarding future functionality or features. We may modify, enhance, or discontinue any feature or functionality at any time without liability.

15. Third-Party Services

The Service may integrate with or link to third-party services (including but not limited to Stripe for payment processing). We make no representation or warranty regarding, and accept no liability for, any third-party service, content, or website. Your use of third-party services is at your own risk and subject to the terms of those third parties.

16. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your account.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.

19. No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us.
